Board of Directors Special Meeting
June 21, 2008 at 1:00 PM.

Special Board of Directors Meeting
June 21, 2008
President MacPhee said this was a special meeting and the Fines Meeting would follow. He called the meeting to order at 12:04 PM and verified a quorum was present.
Appointment of New Board Member
President MacPhee said Eddie Benson, Division 4, was willing to be appointed to the board. President MacPhee read a letter that had been sent in.
For what it's worth, it pleases us immensely that Eddie Benson, Division 4, has agreed to serve on the board if appointed. We became acquainted with Eddie and Jane soon after they had their house built in Bayshore. He is a very dedicated, responsible and conscientious man that will do everything in his power (I'm sure) to uphold the C&R's and tackle any situations that arise.

Don Butler made a motion to appoint Eddie Benson to the Board. Neil Hare asked for discussion with Mr. Benson. Neil asked Mr. Benson what he would like to accomplish that he felt the board isn’t accomplishing. Mr. Benson replied enforcing the C&Rs the best that can be done. Neil asked if he had any negative or positive feelings about the canal that drains all the surface water. Mr. Benson said no, he was not that familiar with the canal. Neil asked if he felt the board should dedicate themselves to taking care of the common property in Bayshore. Mr. Benson said yes, that is what it is all about isn’t it? Maren Taylor seconded the motion. The motion carried unanimously. Eddie Benson was invited to join the board at the table.
Appointment to Planning Committee
President MacPhee said Norman Fernandes had agreed to be on the Planning Committee if appointed. He asked for discussion.

Maren Taylor made a motion to appoint Norman Fernandes to the Planning Committee. Eddie Benson seconded. Motion carried unanimously.
Apartment Renovation
President MacPhee said for those who did not know, many problems had been found after the last caretaker moved out. It has been torn out and much work needs to be done. A committee had been formed with randy Kindig as Chair. He asked Randy to explain further.
Randy Kindig reported that for the last 3 weeks culminating costs for the renovations. We have permittable jobs of electrical and plumbing. We have a destination date of 3-4 weeks to move in and 2-3 weeks after that for the caretakers to finish the final steps. We have a forecasted bid of $12,000 with a margin of $3,000 above that in case we have find something unforeseen. President MacPhee said Randy Kindig has done a lot of foot work on these prices and a lot of the work will be done by our caretakers. Connie Abercrombie, Division 4, asked if the outside wall was affected. President MacPhee said no this is all interior work. Connie asked if the bathroom fixtures would be replaced. President MacPhee assured her that yes it is all being replaced. Don Butler pointed out that the caretakers will be compensated in the form of comp time in the winter months when we don’t have as much for them to do. This will not impact the work they do as part of their regular job.

Maren Taylor made a motion to approve the expenditure of $12,000 plus an additional $3,000 if needed for unexpected expenses, to rehab the apartment. Don Butler seconded. Mary Lou Morris, Division 1, asked where the money would come from. President MacPhee said we will have a surplus of about $20,000 this year that we will use. We will not have to use our CDs or savings.

President MacPhee said the motion carried with 4 yeses and 1 abstain.
President MacPhee read a letter presented from a concerned member.
To Whom It May Concern;
As a concerned homeowner of Bayshore Estates I am respectfully requesting the immediate resignation of Mr. Larry Dahlke from the Board of Directors. This is due to the on-going law suit between himself and Bayshore Homeowners Association, which is a clear conflict of interest.
This request is not made for selfish gains, but instead in the best interest of all homeowners of Bayshore Estates.
